Aaron Hall

Attorney

Business Law & Litigation

For nearly two decades, Aaron has represented the owners and leaders of established, growing Minnesota companies. Businesses that have outgrown do-it-yourself legal work, but do not need full-time in-house counsel, hire him for employment, intellectual property, litigation, contracts, and the everyday questions of running a company. Super Lawyers has recognized him every year since 2013, and his legal commentary has been featured in more than 125 media appearances, including Newsweek, Law360, and The Washington Times.

Aaron’s Approach

Aaron solves legal problems with a lawyer’s judgment and a business owner’s instinct for what is really at stake. He studied marketing before he studied law and has built and run businesses of his own, so he looks at a contract, a dispute, or an employee firing as more than a legal question. He looks at what it means for the business: the deals his clients are trying to close, the people they are trying to keep, and the growth they are trying to protect.

He also believes the law should make business owners more confident, not more dependent on their lawyer. Instead of keeping clients in the dark so they keep coming back, Aaron walks them through the why behind his advice, so they understand their options and can make the call themselves. It is the same reason he puts so much free legal education on YouTube, where business owners can learn how the problems they run into actually work and prevent them.

He publishes legal education for business owners at scale: more than 4,400 pages of original content at aaronhall.com and 1,000+ legal-education videos on YouTube. Beyond his practice, Aaron built and operates HallApproved.com, a free legal-research archive of more than 3.3 million court opinions spanning 69 courts, from 1754 to the present.

Aaron also writes up selected matters as client stories, following each from the problem to the result with identifying details left out: a former business partner’s breach demand after a separation, a fired employee’s discrimination charge and lawsuit, and a buyout that never defined cause.

Aaron’s approach is not the right fit for everyone. He keeps his practice small on purpose. He takes on a limited number of business owners where he knows he can genuinely help, which means they work with him directly instead of getting handed off to a junior associate.

“I appreciated Aaron's candor and direct approach.”

His use of common parlance rather than the typical lawyerly jargon was also refreshing. When it was clear to him that my needs were outside his expertise, he readily recommended a cadre of attorneys he thought would be better suited to meet them.

“He satisfactorily answered all my questions one by one.”

To make most of the time, he even emailed me and mentioned that I can send him list of questions/documents in advance that I plan to cover during the consultation call. During the actual consultation call, he thoroughly listened to my questions and concerns and quickly established the goal for the meeting.

Representative Matters

Recent matters Aaron has handled include:

  1. Defending a retail business and its owner against a former worker’s discrimination and retaliation lawsuit, asserting counterclaims, and resolving the case through settlement after discovery.
  2. Defending a manufacturer against former employees’ discrimination and retaliation charges before the EEOC and the Minnesota Department of Human Rights, and in the lawsuit that followed one of them.
  3. Advising a 50% owner of a creative agency on exit and buyout options, including valuation standards, appraisal mechanics, and negotiation strategy.
  4. Serving as ongoing outside counsel to a Minnesota manufacturer with operations in two states, on employment claims and policies, vendor and nondisclosure agreements, product warranties and labeling, a real estate acquisition, and litigation.
  5. Advising the senior leadership of a national consumer-products manufacturer on a retailer’s margin demand, with a negotiation strategy grounded in the parties’ contract and the duty of good faith.
  6. Advising a Minnesota equipment company on an employee whose health condition raised workplace-safety concerns, balancing disability-law duties against safety, and preparing the return-to-work restrictions and the notice to its insurer.
  7. Representing an out-of-state consumer-products seller in a Minnesota Department of Revenue sales-tax audit covering remote-seller obligations and product classification, including a request to abate penalties and interest.
  8. Defending a small-business owner and the owner’s company, sued by a supplier on an account and a disputed personal guarantee, through discovery to a mediated settlement.
  9. Structuring the transfer of a long-established Minneapolis retail business from its founder to two employees, including shareholder and buy-sell agreements, restated bylaws, and state filings.

Client details are omitted to protect confidentiality. Each result turned on its own facts and law and does not predict the outcome of another matter.
