What Is a Written Action of LLC Members?

A Written Action of Members allows LLC owners to formally approve a decision without holding a meeting. Instead of meeting in person, a quorum of LLC members can sign a Written Action, which takes the place of meeting and passing a resolution. Common uses include amending the operating agreement, authorizing real estate transactions, approving member transfers, and other major business decisions.

Written Action of Members Template

WRITTEN ACTION OF MEMBERS [COMPANY], LLC

The undersigned, being the Members of [COMPANY], LLC (the “Company”), consent to the adoption of and do hereby adopt the following resolutions, effective as of the 1st day of [MONTH, YEAR]:

RESOLVED, that the Member Control Agreement of [COMPANY], LLC is amended as follows: ________________________.

RESOLVED, that all members are authorized to transfer their interests in the Company to ________________________.

RESOLVED, that __________________ is hereby recognized as the sole member, governor, and chief manager of the Company.

The above actions are taken without a meeting by authorization in writing signed and consented to by all of the members and governors of the Company, said action to be effective immediately upon signing. This may be signed in counterparts and by facsimile.
